Enterprise Services Addendum
For Organizations, Facilities, and Government Entities
Effective Date: October 29, 2025
IMPORTANT: PLEASE READ THIS ENTERPRISE SERVICES ADDENDUM CAREFULLY.
This Enterprise Services Addendum ("Addendum") supplements and modifies the Iamfine Terms of Use (the "Terms") for organizations, facilities, agencies, and government entities (each, an "Enterprise Customer") that subscribe to the Iamfine Services on behalf of multiple individuals ("End Users"). This Addendum is entered into between Hambros Inc, d/b/a Iamfine ("Iamfine") and Enterprise Customer.
By subscribing to Iamfine Services as an Enterprise Customer, you agree to be bound by both (1) the Terms of Use and (2) this Addendum. In the event of any conflict between the Terms and this Addendum, this Addendum shall control.
1. DEFINITIONS AND APPLICABILITY
1.1 Enterprise Customer. "Enterprise Customer" means any organization, entity, or government body subscribing to Iamfine Services on behalf of End Users, including but not limited to:
- Building Owners and Property Managers: Owners or managers of residential buildings who provide services to tenants
- Independent Living Facilities: Facilities providing housing and services for seniors who live independently
- Assisted Living Facilities: Facilities providing housing and support services for individuals who need assistance with daily activities
- Nursing Homes and Skilled Nursing Facilities: Healthcare facilities providing nursing care and medical services
- Home Care Agencies: Organizations providing in-home care services to individuals
- Government Entities: Cities, counties, municipalities, or other government bodies providing services to citizens or constituents
- Continuing Care Retirement Communities (CCRCs): Communities offering a continuum of care services
- Senior Housing Providers: Any organization providing housing specifically for seniors
- Care Coordination Organizations: Entities coordinating care services for multiple individuals
- Other Organizations: Any other entity subscribing on behalf of multiple individuals
1.2 End Users. "End Users" means individuals on whose behalf Enterprise Customer subscribes to Iamfine Services, including residents, tenants, patients, clients, citizens, constituents, or other individuals.
1.3 Terms Incorporated. All terms and conditions in the Iamfine Terms of Use at www.iamfine.com/terms/ are incorporated into this Addendum by reference and apply to Enterprise Customer, except as expressly modified herein.
1.4 Customer Definition. For purposes of the Terms and this Addendum, "Customer" includes both Enterprise Customer and all End Users. Enterprise Customer and all End Users are jointly and severally bound by the Terms and this Addendum.
2. ENTERPRISE CUSTOMER REPRESENTATIONS AND WARRANTIES
Enterprise Customer represents, warrants, and covenants that:
2.1 Authority to Subscribe. Enterprise Customer has full legal authority, right, and power to subscribe to Iamfine Services on behalf of End Users and to bind End Users to the Terms and this Addendum.
2.2 Consent Obtained. Enterprise Customer has obtained (or will obtain prior to enrolling each End User) all necessary consents, authorizations, and permissions from:
- (a) Each End User (or their legal guardian, power of attorney, healthcare proxy, or authorized representative); AND
- (b) Each End User's designated Care Circle members; AND
- (c) Any other party whose consent is legally required
2.3 Consent Documentation. Enterprise Customer maintains written documentation of all consents and will provide such documentation to Iamfine upon request. Enterprise Customer acknowledges that failure to obtain proper consent may result in legal liability for which Enterprise Customer is solely responsible.
2.4 Accurate Information. All information provided to Iamfine regarding End Users (including names, phone numbers, Care Circle contacts, and preferences) is accurate, current, and authorized.
2.5 Legal Compliance. Enterprise Customer's use of Iamfine Services complies with all applicable federal, state, and local laws, regulations, and ordinances, including but not limited to:
- HIPAA (Health Insurance Portability and Accountability Act) if applicable
- State privacy and data protection laws
- Elder abuse reporting requirements
- Nursing home regulations and licensing requirements
- Assisted living facility regulations
- Government procurement rules (if Enterprise Customer is a government entity)
- Fair Housing Act and housing discrimination laws
- Americans with Disabilities Act (ADA)
2.6 Service Limitations Disclosed. Enterprise Customer has informed (or will inform) all End Users and their families/representatives about the limitations of Iamfine Services as described in Section 1 of the Terms, including that:
- Iamfine is NOT an emergency service
- Iamfine is NOT a medical device or medical alert system
- Iamfine provides NO guaranteed response time
- Iamfine provides NO human monitoring or supervision
- The service is fully automated
2.7 No Reliance as Primary Safety System. Enterprise Customer acknowledges that Iamfine Services are supplemental only and Enterprise Customer is NOT relying on Iamfine Services as its primary safety, monitoring, or emergency response system for End Users.
3. ENTERPRISE CUSTOMER OBLIGATIONS
3.1 End User Management. Enterprise Customer is solely responsible for:
- Enrolling and removing End Users from the service
- Maintaining accurate End User contact information
- Configuring call times and preferences for each End User
- Designating and maintaining Care Circle members for each End User
- Responding to alerts and notifications regarding End Users
- Taking appropriate action when an End User misses a check-in
3.2 Emergency Protocols. Enterprise Customer maintains its own emergency response protocols and procedures separate from and independent of Iamfine Services. Enterprise Customer will NOT rely on Iamfine Services for emergency detection or response.
3.3 Staff Training. Enterprise Customer will train its staff on the proper use of Iamfine Services and the service limitations described in the Terms.
3.4 Notification of Changes. Enterprise Customer will promptly notify Iamfine of:
- Changes to End User information (phone numbers, addresses, status)
- End Users who should be removed from service (discharge, death, transfer)
- Changes to Enterprise Customer's contact information
- Any incidents or issues related to service performance
3.5 Data Security. Enterprise Customer will implement reasonable security measures to protect End User information and login credentials for Iamfine's systems.
3.6 Prohibited Uses. Enterprise Customer will NOT:
- Use Iamfine Services for individuals who lack capacity to respond to phone calls
- Use Iamfine Services as a substitute for required staffing or safety systems
- Market or represent Iamfine Services in a manner inconsistent with the Terms
- Use Iamfine Services in violation of any laws or regulations
- Share or disclose End User data except as authorized
4. PAYMENT TERMS FOR ENTERPRISE CUSTOMERS
4.1 Billing Structure. Notwithstanding Section 8.1 of the Terms, Enterprise Customer agrees that:
- Enterprise Customer (not End Users) is responsible for all fees and charges
- Billing may be monthly or annually based on the number of enrolled End Users
- Fees are based on the maximum number of End Users enrolled during each billing period
- Minimum commitments may apply as set forth in the order form or quote
4.2 Payment Terms. Enterprise Customer will pay all invoices within thirty (30) days of invoice date unless different terms are specified in writing. Late payments may incur interest at 1.5% per month or the maximum rate permitted by law, whichever is less.
4.3 Non-Refundable. As stated in Section 8.2 of the Terms, all payments are final and non-refundable under any circumstances, including but not limited to:
- Reduction in number of End Users
- End Users discharged, transferred, or deceased
- Service termination by either party
- Dissatisfaction with service
- Service failures or interruptions
4.4 Price Changes. Iamfine may increase prices upon thirty (30) days written notice. Continued use of services after the price increase effective date constitutes acceptance of new pricing.
4.5 Taxes. Enterprise Customer is responsible for all sales, use, excise, and other taxes (except Iamfine's income taxes) associated with the services.
5. LIABILITY AND INDEMNIFICATION
5.1 Limitations Apply to End Users. All limitations of liability, disclaimers, and waivers set forth in Sections 1, 3, 4, and 5 of the Terms apply equally to:
- Enterprise Customer
- All End Users
- End Users' families, estates, heirs, and representatives
- Any other person or entity claiming through or on behalf of End Users
5.2 Enterprise Customer Indemnification. In addition to the indemnification in Section 4.1 of the Terms, Enterprise Customer agrees to indemnify, defend, and hold harmless Iamfine, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all losses, damages, liabilities, deficiencies, claims, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of whatever kind (including reasonable attorneys' fees) arising from or relating to:
- (a) Claims by End Users or their families, estates, heirs, or representatives
- (b) Enterprise Customer's failure to obtain proper consents or authorizations
- (c) Enterprise Customer's breach of this Addendum or the Terms
- (d) Enterprise Customer's violation of any laws or regulations
- (e) Enterprise Customer's negligence or willful misconduct
- (f) Disputes between Enterprise Customer and End Users
- (g) Claims alleging service failure, delay, or malfunction
- (h) Claims alleging injury, harm, death, or property damage to End Users
- (i) Claims by government agencies or regulators related to Enterprise Customer's use of services
5.3 Defense of Claims. If Iamfine receives any claim, demand, or lawsuit from or on behalf of an End User, Enterprise Customer will, at Iamfine's option:
- Assume full defense of the claim at Enterprise Customer's expense using counsel acceptable to Iamfine; OR
- Reimburse Iamfine for all costs and expenses (including attorneys' fees) incurred in defending the claim
5.4 No Liability Cap for Indemnification. The liability cap in Section 4.4 of the Terms does NOT apply to Enterprise Customer's indemnification obligations under this Section 5.
5.5 Insurance. Enterprise Customer maintains adequate liability insurance covering its operations and agrees to maintain such insurance throughout the term of this Addendum. Upon request, Enterprise Customer will provide Iamfine with certificates of insurance showing coverage.
6. ARBITRATION AND DISPUTE RESOLUTION
6.1 Arbitration Applies to All Parties. The arbitration agreement and class action waiver in Section 11 of the Terms applies to:
- Enterprise Customer
- All End Users (individually and collectively)
- Anyone claiming through or on behalf of End Users (families, estates, heirs, representatives)
6.2 Flow-Down to End Users. Enterprise Customer agrees that by subscribing to Iamfine Services on behalf of End Users, Enterprise Customer binds all End Users to the arbitration agreement and class action waiver in Section 11 of the Terms. Enterprise Customer represents that it has authority to bind End Users to arbitration.
6.3 No Class or Collective Actions. No End User may bring a class action, collective action, representative action, or consolidated action against Iamfine. Each dispute must be arbitrated individually.
6.4 Enterprise Customer Cooperation. If any End User or person claiming on behalf of an End User initiates arbitration or litigation against Iamfine, Enterprise Customer will:
- Cooperate fully with Iamfine's defense
- Provide all relevant documentation and information
- Make witnesses available as reasonably requested
- Assert all applicable defenses and limitations
6.5 No Opt-Out for End Users. Notwithstanding Section 11.8 of the Terms, End Users enrolled by Enterprise Customer do NOT have the right to opt out of the arbitration agreement. The opt-out right applies only to individual consumers who subscribe directly.
7. DATA PROTECTION AND PRIVACY
7.1 Privacy Policy. Iamfine's collection, use, and disclosure of End User information is governed by the Privacy Policy at www.iamfine.com/privacy/, which is incorporated by reference.
7.2 HIPAA Compliance. Enterprise Customer acknowledges that:
- Iamfine Services are NOT designed for use by HIPAA-covered entities as a means of transmitting or storing Protected Health Information (PHI)
- Iamfine is NOT a HIPAA Business Associate of Enterprise Customer
- No Business Associate Agreement (BAA) is in place
- If Enterprise Customer is subject to HIPAA, Enterprise Customer is solely responsible for ensuring its use of Iamfine Services complies with HIPAA
- Enterprise Customer will NOT input PHI into Iamfine systems except basic contact information necessary for service delivery
7.3 Data Minimization. Enterprise Customer will provide only the minimum information necessary for Iamfine to deliver services (names, phone numbers, Care Circle contacts, call preferences).
7.4 Consent for Communications. Enterprise Customer represents that all End Users and Care Circle members have consented to receive automated phone calls, text messages, and emails from Iamfine in connection with the services.
7.5 Data Retention. Iamfine retains End User data in accordance with its Privacy Policy. Upon termination of services for a specific End User, Iamfine may retain data for legal and operational purposes as described in the Privacy Policy.
7.6 Data Breach Notification. In the event of a data breach affecting End User information, Iamfine will notify Enterprise Customer in accordance with applicable laws. Enterprise Customer is responsible for any required notifications to End Users, families, or regulators.
8. GOVERNMENT ENTITY PROVISIONS
8.1 Applicability. This Section 8 applies when Enterprise Customer is a government entity (city, county, municipality, state agency, or other governmental body).
8.2 Procurement Compliance. Enterprise Customer represents that its subscription to Iamfine Services complies with all applicable procurement laws, regulations, and policies.
8.3 Public Records. Enterprise Customer acknowledges that if Enterprise Customer is subject to public records laws, communications with Iamfine may be subject to public disclosure. Iamfine will cooperate with reasonable public records requests directed to Enterprise Customer.
8.4 Appropriations. If Enterprise Customer's obligation to pay is contingent upon appropriation of funds by a legislative body, and such funds are not appropriated, Enterprise Customer may terminate services upon written notice. However, Enterprise Customer remains obligated to pay for services rendered through the termination date, and no refunds will be provided for any prepaid fees.
8.5 Sovereign Immunity. Nothing in this Addendum or the Terms is intended to waive any sovereign immunity, governmental immunity, or other immunity to which Enterprise Customer may be entitled under applicable law. However, Enterprise Customer agrees that to the maximum extent permitted by law, the limitations of liability, disclaimers, and arbitration provisions shall apply.
8.6 Governing Law for Government Entities. If Enterprise Customer is a government entity, Section 16 of the Terms (Governing Law) may be modified by mutual written agreement to specify the law of Enterprise Customer's jurisdiction if required by law or policy.
8.7 No Federal Funding Representation. Iamfine makes no representation that its services are eligible for federal funding or reimbursement under Medicare, Medicaid, or other federal programs.
9. TERMINATION
9.1 Termination by Iamfine. In addition to the termination rights in Section 13 of the Terms, Iamfine may terminate this Addendum and Enterprise Customer's access to services immediately if:
- Enterprise Customer breaches any provision of this Addendum
- Enterprise Customer fails to pay any invoice within sixty (60) days of due date
- Enterprise Customer's license or regulatory status is suspended or revoked
- Iamfine receives complaints from multiple End Users or their families
- Enterprise Customer uses services in violation of laws or regulations
- Enterprise Customer fails to obtain required consents from End Users
9.2 Termination by Enterprise Customer. Enterprise Customer may terminate by providing ninety (90) days written notice, except as provided in Section 8.4 for government appropriations. No refunds will be provided upon termination.
9.3 Effect of Termination. Upon termination:
- All End User services will be discontinued
- Enterprise Customer's access to Iamfine systems will be terminated
- All payment obligations for services rendered remain due and payable
- Sections 2, 5, 6, 7, and 10 survive termination indefinitely
- Enterprise Customer will notify all End Users and families that services have ended
9.4 No Liability for Termination. Iamfine has no liability to Enterprise Customer, End Users, or any third party for termination of services in accordance with this Addendum or the Terms.
10. GENERAL PROVISIONS
10.1 Entire Agreement. This Addendum and the Terms constitute the entire agreement between Enterprise Customer and Iamfine regarding Enterprise Customer's use of Iamfine Services and supersede all prior agreements, understandings, and communications.
10.2 Amendment. Iamfine may amend this Addendum at any time by posting the revised version at www.iamfine.com/terms-enterprise/ and providing notice to Enterprise Customer. Continued use of services after the effective date constitutes acceptance of the amended Addendum.
10.3 Order of Precedence. In the event of conflict between documents, the order of precedence is: (1) signed quote or order form with special terms, (2) this Addendum, (3) the Terms of Use.
10.4 Assignment. Enterprise Customer may not assign this Addendum without Iamfine's prior written consent. Iamfine may assign this Addendum without restriction.
10.5 Notices. All notices to Iamfine must be sent to:

10.6 Severability. If any provision of this Addendum is held invalid or unenforceable, the remaining provisions remain in full force and effect.
10.7 No Waiver. Iamfine's failure to enforce any provision does not constitute a waiver of that provision or any other provision.
10.8 Independent Contractor. Enterprise Customer and Iamfine are independent contractors. This Addendum does not create a partnership, joint venture, agency, or employment relationship.
10.9 Force Majeure. Section 7 of the Terms (Force Majeure) applies to this Addendum.
10.10 Counterparts. This Addendum may be executed in counterparts, each of which is an original and all of which together constitute one agreement. Electronic signatures are valid and binding.
11. ACKNOWLEDGMENT AND ACCEPTANCE
BY SUBSCRIBING TO IAMFINE SERVICES AS AN ENTERPRISE CUSTOMER, OR BY CLICKING "I AGREE," "ACCEPT," OR SIMILAR BUTTON OR CHECKBOX, OR BY USING THE SERVICES, ENTERPRISE CUSTOMER ACKNOWLEDGES THAT IT HAS:
- READ AND UNDERSTOOD THIS ADDENDUM AND THE TERMS OF USE
- AUTHORITY TO BIND ITSELF AND ALL END USERS TO THIS ADDENDUM AND THE TERMS
- OBTAINED OR WILL OBTAIN ALL NECESSARY CONSENTS FROM END USERS
- AGREED TO INDEMNIFY IAMFINE FOR CLAIMS BY END USERS
- AGREED THAT ALL DISPUTES WILL BE RESOLVED THROUGH BINDING ARBITRATION
- AGREED TO ALL LIMITATIONS OF LIABILITY AND DISCLAIMERS IN THE TERMS
IF YOU DO NOT AGREE TO THIS ADDENDUM AND THE TERMS, DO NOT SUBSCRIBE TO OR USE IAMFINE SERVICES FOR END USERS.
